These Terms and Conditions (the “Terms”) govern your access to and use of xurprises.com (the “Site”) and any subscriptions, digital products, services, and physical products (collectively, the “Services” and “Products”) offered by XURPRISES (“XURPRISES”, “we”, “us”, “our”). By accessing, browsing, registering, purchasing, paying for, or using the Site or any Services/Products, you agree to be legally bound by these Terms.

If you do not agree, do not use the Site and do not complete any purchase.


1) Binding Acceptance, Clickwrap, and Electronic Signature

1.1 Clickwrap acceptance. When you (i) use the Site, (ii) create an account, (iii) purchase or attempt to purchase any Products/Services, or (iv) check the box stating you accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference (including our Privacy Policy).

1.2 Electronic signature. Checking the acceptance box, clicking “Pay/Place order/Subscribe,” or similar actions constitutes your electronic signature and affirmative consent, and is intended to have the same legal effect as a handwritten signature, to the maximum extent permitted by applicable law.

1.3 No acceptance, no purchase. If you do not agree, you must not use the Site or purchase any Services/Products.


2) Definitions

For purposes of these Terms:

  • “Account” means your registered user profile.
  • “Subscription” means access provided on a recurring basis (monthly, 6 months, annual) or Lifetime access as described in Section 7.
  • “Digital Products” means any digital content, access, courses, training, community access, tools, resources, streaming content, or similar digital deliverables provided via the Site.
  • “Physical Products” means tangible goods offered on the Site (when available).
  • “Affiliate” means a person or entity authorized by XURPRISES to promote XURPRISES using a referral link or similar tracking mechanism.
  • “Third-Party Services” means external providers or platforms (e.g., payment processors, hosting, analytics tools, video players, email delivery, logistics providers).
  • “Content” means all text, video, audio, software, design, branding, materials, and other content provided by XURPRISES or through the Site.

3) Eligibility, Capacity, and Account Registration

3.1 Legal capacity. You represent that you have the legal capacity to enter into binding contracts.

3.2 Accurate information. You agree to provide accurate and current information, including billing and shipping details (if applicable). You are responsible for the accuracy of any data you submit.

3.3 Global access. The Site may be accessed worldwide. However, Physical Products (if offered) are shipped only to U.S. addresses as described in Section 10.

3.4 Minors. The Site is not intended for children. If you are not legally permitted to use the Site in your jurisdiction, you must not use it. If you are a parent/guardian and believe a minor has provided personal information, contact us at contact@xurprises.com.


4) Scope of Services; Changes; “As Is / As Available”

4.1 Evolving offerings. XURPRISES is continuously evolving. Features, benefits, content, discount rules, and availability may change over time, and may vary by plan, promotion, country, or operational constraints.

4.2 No guaranteed feature set. We do not guarantee that any particular feature, module, content library, or benefit will remain available permanently.

4.3 As is / as available. The Site and Services are provided “AS IS” and “AS AVAILABLE” to the maximum extent permitted by law. We do not guarantee uninterrupted access, error-free operation, or compatibility with all devices, browsers, networks, or configurations.

4.4 Maintenance and outages. Scheduled or unscheduled maintenance may occur. We may suspend or restrict access for security, maintenance, upgrades, or compliance reasons.


5) Account Security; Access Controls; Suspensions

5.1 Your responsibility. You are responsible for safeguarding your login credentials and all activity under your Account.

5.2 Security measures. We may implement security measures such as verification, device checks, IP/VPN/proxy restrictions, rate limits, or other controls to protect the Site and users.

5.3 Email changes. You may not change your Account email directly. Email corrections may be handled by XURPRISES upon request and verification, at our discretion.

5.4 Suspension/termination. We may suspend or terminate your Account and access if we reasonably believe you have violated these Terms, engaged in fraud, abuse, unlawful activity, or created risk for XURPRISES, other users, or Third-Party Services.


6) Acceptable Use; Prohibited Conduct

You agree not to:

  • Share, sell, sublicense, rent, or transfer your Account or access.
  • Record, capture, reproduce, scrape, extract, redistribute, or publish any Content without permission.
  • Use bots, automation, scraping tools, or similar methods to access or extract data.
  • Attempt to bypass security controls, authentication, rate limits, or access restrictions.
  • Misrepresent your identity, impersonate others, or engage in harassment, threats, or illegal conduct.
  • Upload or transmit malware, harmful code, or content that violates law or third-party rights.

Violation may result in immediate suspension or termination without any refund (except if legally required).


7) Subscriptions; Auto-Renewal; Cancellation; Lifetime

7.1 Auto-renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal.

7.2 Cancellation. Cancellation stops future billing. It does not entitle you to a refund for amounts already paid (see Section 9).

7.3 Billing failures. If a payment fails, the payment processor (e.g., Stripe) may attempt retries based on its settings and banking rules. We may suspend access until payment is successfully completed.

7.4 Lifetime definition (closed definition). “Lifetime” means access for as long as XURPRISES continues to operate and make the Lifetime program available under commercially reasonable conditions. It does not guarantee perpetual operation, perpetual feature availability, or that any specific content or functionality will remain unchanged.

7.5 Plan changes & promotions. We may offer discounts for active members or special promotions at our discretion. Price differences after purchase do not create any right to refunds, credits, or retroactive price adjustments.


8) Prices, Currency, Taxes, and Pricing Errors

8.1 Currency. Prices are charged in USD unless stated otherwise.

8.2 Taxes and fees. You are responsible for any applicable taxes, bank fees, currency conversion fees, and card issuer fees unless expressly stated.

8.3 Pricing errors. If a pricing or listing error occurs (including due to a technical bug), we may cancel the transaction and, if a charge occurred, reverse it through the payment processor as appropriate and permitted by law.


9) STRICT NO-REFUND POLICY (NO REFUNDS)

IMPORTANT: ALL SALES ARE FINAL. To the maximum extent permitted by law:

9.1 No refunds. All purchases of Subscriptions, Digital Products, Services, and Physical Products are final and non-refundable, and no returns are accepted, for any reason.

9.2 Immediate digital access = delivery. You acknowledge that Digital Products and subscription benefits are provided immediately or substantially immediately after payment and that such activation constitutes delivery/performance.

9.3 No prorations. We do not provide partial refunds, prorations, or credits for unused time.

9.4 Legal exception only. If and only if applicable law requires a non-waivable remedy, we will comply strictly with what is legally required. Any request must be submitted to contact@xurprises.com within 30 days of purchase (digital) or confirmed delivery (physical). We will aim to respond within 30 days of receipt.

9.5 No store credits by default. We do not offer store credits as a standard practice. If a legally required remedy applies, the form of remedy may depend on legal requirements and the payment processor’s permitted methods.


10) Physical Products: U.S. Shipping Only; Delivery; Address Errors

10.1 U.S. shipping only. Physical Products (when available) are shipped only to addresses within the United States.

10.2 Third-party logistics. Fulfillment may be handled via Third-Party Services such as ShipStation and its connected carriers.

10.3 Address responsibility. You are responsible for providing correct shipping information.

10.4 No returns/refunds. Physical Product purchases are final and non-refundable except as required by law (see Section 9).


11) Chargebacks, Payment Disputes, and Fraud

11.1 Dispute first. Contact contact@xurprises.com before initiating a chargeback.

11.2 Access suspension. If a dispute is initiated, we may suspend or terminate access.

11.3 Evidence and recovery. We may submit records and evidence to payment processors and banks as available through our systems and Third-Party Services.


12) Educational Content; No Guarantee of Results

We do not guarantee financial outcomes, sales, profits, or any specific results.


13) Intellectual Property; License; No Recording or Redistribution

All Content is owned by XURPRISES or its licensors. You may not record or redistribute Content without permission.


14) Affiliate Program and Brand Usage (If Applicable)

Approved Affiliates may receive a limited, revocable permission to use certain XURPRISES branding solely to promote XURPRISES, subject to restrictions and termination at our discretion.


15) Third-Party Trademarks; No Association Disclaimer

References to third-party brands do not imply endorsement or affiliation unless explicitly stated.


16) Third-Party Services; Platform Dependencies

We rely on Third-Party Services (e.g., Vercel, Supabase, Stripe, Vimeo, Resend, ShipStation). We are not responsible for their outages or failures.


17) Disclaimers of Warranties (SaaS-Style)

To the maximum extent permitted by law, we disclaim all warranties.


18) Limitation of Liability (Cap)

To the maximum extent permitted by law, our total liability is capped at the lesser of:
(a) amounts paid in the 90 days before the event; or
(b) the minimum required by law.


19) Indemnification

You agree to indemnify and hold XURPRISES harmless from claims arising from your use of the Site or violation of these Terms.


20) DMCA / Copyright Notice (U.S.)

Send copyright notices to contact@xurprises.com with required information to identify the work and the allegedly infringing material.


21) Dispute Resolution; Arbitration; Class Action Waiver

21.1 Informal resolution first. Contact us first.

21.2 Binding arbitration (AAA). Disputes are resolved by binding arbitration administered by the AAA.

21.3 Seat: Herriman, Utah, United States.

21.4 Class action waiver. Individual claims only, to the maximum extent permitted by law.

21.5 Small claims option. Eligible claims may be brought in small claims court.

21.6 Injunctive relief. We may seek court relief for IP/security/fraud.


22) Governing Law; Venue

Utah law governs these Terms.


23) Limitation Period for Claims

Claims must be brought within one (1) year after they arise, to the maximum extent permitted by law.


24) Force Majeure

We are not liable for events beyond our control.


25) Assignment

We may assign these Terms in connection with a business transfer.


26) Severability; No Waiver; Entire Agreement

If any provision is unenforceable, the rest remains effective.
